We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this Web site. Your continued use of the New London HR service indicates your acceptance of the amended User Agreement.
This agreement is entered into by and between New London HR (hereafter “Licensor/NLHR”), and You (hereafter “Licensee”). Licensee’s use of Licensor's Internet site (“www.newlondonhr.co.uk") or any of the material or service offerings or other services offered on the Site including any off-line or third party components, data, lists, reports, dashboards, templates or services (collectively, the "NLHR Services") is subject to this "Agreement". If Licensee does not agree to this Agreement, Licensee agrees not to use or access the Services or the Site. Licensee’s registration for, or use of, the Site or the Services shall be deemed to be Licensee’s acceptance of this Agreement. Licensor may modify this Agreement at any time without notice to Licensee by posting a revised Agreement on the Site. Licensee’s continued use of the Site constitutes Licensee’s binding acceptance of this Agreement, including any modifications that Licensor makes. Licensee is responsible for regularly reviewing this Agreement.

Description of Service
New London HR is an online service offered to enable professionals to find and connect with other professionals more effectively (the "NLHR Services"). Whether looking for a job, a lead for that next deal or an industry expert, NLHE Services users can make contact with thousands of professionals who are users of the NLHR Services.
The NLHR Services are not available to minors under the age of 18 or to any users suspended or removed from the system by New London HR for any reason. Users may not have more than one active account. Additionally, users are prohibited from selling, trading or otherwise transferring your NLHR account to another party. If you do not qualify, you may not use the NLHR Services.
Use of Service
Your use of the NLHR Services is governed by this User Agreement. NLHR may refuse service without prior notice to any user for any or no reason. You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your account privileges may be suspended temporarily or terminated. You agree to immediately notify NLHR of any unauthorized use of your password or account or any other breach of security. NLHR cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

The prices of courses on NLHR are determined based on the terms of the Instructor Terms and our Promotions Policy. In some instances, the price of a course offered on the NLHR website may not be exactly the same as the price offered on our mobile or TV applications, due to mobile platform providers’ pricing systems and their policies around implementing sales and promotions.
We regularly run promotions and sales for our courses and certain courses are only available at discounted prices for a set period of time. The price applicable to a course will be the price at the time you complete your purchase of the course (at checkout). Any price offered for a particular course may also be different when you are logged into your account from the price available to users who aren’t registered or logged in, because some of our promotions are available only to new users.
You agree to pay the fees for courses that you purchase, and you authorize us to charge your debit or credit card or process other means of payment for those fees. NLHR works with third party payment processing partners to offer you the most convenient payment methods in your country and to keep your payment information secure. When you make a purchase, you agree not to use an invalid or unauthorized payment method. If your payment method fails and you still get access to the course you are enrolling in, you agree to pay us the corresponding fees within thirty (30) days of notification from us. We reserve the right to disable access to any course for which we have not received adequate payment.
Refunds and Refund Credits
If the course you purchased is not what you were expecting, you can request, within 14 days of your purchase of the course, that NLHR apply a refund to your account. We reserve the right to apply your refund as a refund credit or a refund to your original payment method, at our discretion, depending on capabilities of our payment processing partners, the platform from which you purchased your course (website, mobile or TV app), and other factors. No refund is due to you if you request it after the 14-day guarantee time limit has passed. However, if a course you previously purchased is disabled for legal or policy reasons, you are entitled to a refund beyond this 14-day limit. NLHR also reserves the right to refund students beyond the 14-daylimit in cases of suspected or confirmed account fraud.
All right, title, and interest in and to the NLHR platform and Services, including our website, our existing or future applications, our APIs, databases, and the content our employees or partners submit or provide through our Services (but excluding content provided by instructors and students) are and will remain the exclusive property of NLHR and its licensors. Our platforms and services are protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries. Nothing gives you a right to use the New London HR name or any of the New London HR trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding NLHR or the Services is entirely voluntary and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you.
NLHR shall be entitled to terminate this agreement and cease to provide you with any Services with immediate effect in the event that you:
a) fail to pay when due your Fees;
b) act in an aggressive, bullying, offensive, threatening or harassing manner towards any employee of NLHR , any teacher or lecturer who provides the Taught Courses or any student who attends any Taught Course;
c) cheat or plagiarize any work which you are required to prepare or submit in connection with the Services or during any examination taken in connection with the Services;
d) steal or act in fraudulent or deceitful manner towards us or our employees or any other students who may be on our premises or attending our Taught Courses;
e) intentionally or recklessly damage our property or the property of our employees or other students attending our premises;
f) are intoxicated through alcohol or illegal drugs while on our premises;
g) commit any criminal offence committed on our premises or where the victim is our employee or student;

On 16/03/2021 New London HR adopted Terms of Services, providing as follows:
Welcome to New London HR (hereafter “NLHR”). Please read these Terms of Service ("TOS") prior to registering for an account on newlondonhr.co.uk or using any portion of the NLHR website or mobile applications (collectively, the "NLHR Site," which consists of all content and pages located within the newlondonhr.co.uk web domain, including accessing any course material, chat rooms, or other electronic services. These TOS follows are agreements (the "Agreements") between you and NLHR;
Rules for online conduct
You agree that you are responsible for your own use of the NLHR Site and for your User Postings. "User Postings" means all content submitted, posted, published, or distributed on the NLHR Site by you or other users of the NLHR Site, including but not limited to all forum posts, notes, questions, comments, videos, and file uploads. You agree that you will use the NLHR Site in compliance with these Agreements, and all applicable local, state, national and international laws, rules and regulations, including copyright laws, any laws regarding the transmission of technical data exported from your country of residence, and all United Kingdoms’ IP & data protection laws. As a condition of your use of the NLHR Site, you will not use the NLHR Site in any manner intended to damage, disable, overburden, or impair any NLHR server or the network(s) connected to any NLHR server or to interfere with any other party's use and enjoyment of the NLHR Site. You may not attempt to gain unauthorized access to the NLHR Site, other accounts, computer systems, or networks connected to any NLHR server through hacking, password mining, or any other means. You may not obtain or attempt to obtain any materials or information stored on the NLHR Site, its servers, or associated computers through any means not intentionally made available through the NLHR Site. If you are a registered user, you will not share your password or let anyone else access or compromise your account.
Accessing our site
We do not guarantee that our site, or any content on it, will always be available or be uninterrupted. We reserve all the rights to suspend, withdraw, discontinue or change all or any part of our site without notice. We will not be liable to you if for any reason our site is unavailable at any time or for any period.
You are responsible for making all arrangements necessary for you to have access to our site.
In order to create a user account, you must provide your full name, an email address, your country or region of residence, a public username, and a user password. You agree that you will never divulge or share access or access information for your user account with any third party for any reason. In setting up your user account, you may be prompted to enter additional optional information (e.g., your year of birth). You represent that all information provided by you is accurate and current. You agree to maintain and update your information to keep it accurate and current. We care about the confidentiality and security of your personal information.
Uploading Content to Our Site
Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out in our Terms of Service Policy.
You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. If you are a consumer user, this means you will be responsible for any loss or damage we suffer as a result of your breach of warranty. Any content you upload to our site will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such content for any purpose.
We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy. We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of our site.
We have the right to remove any posting you make on our site if, in our opinion, your post does not comply with the content standards set out in our Terms of Service Policy.
The views expressed by other users on our site do not represent our views or values.
Strictly Prohibited Items
THE FOLLOWING ITEMS ARE STRICTLY PROHIBITED ON THE NLHR SITE:
· Content that defames, harasses or threatens others;
· Content that discusses illegal activities with the intent to commit them;
· Content that infringes another's intellectual property, including, but not limited to, copyrights or trademarks;
· Profane, pornographic, obscene, indecent or unlawful content;
· Advertising or any form of commercial solicitation;
· Content related to partisan political activities;
· Viruses, trojan horses, worms, time bombs, corrupted files, malware, spyware, or any other similar software that may damage the operation of another's computer or property; and
· Content that contains intentionally inaccurate information or that is posted with the intent of misleading others (this list, collectively, “Strictly Prohibited Items”).
· You may not submit post, publish, share, or otherwise distribute any of the above Strictly Prohibited Items on or via the NLHR Site.
You are responsible for configuring your information technology, computer programmes and platform in order to access our site. You should use your own virus protection software.
You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.
Your Right to use Content on the NLHR Site
Unless indicated as being in the public domain, the content on the NLHR Site is protected by United Kingdom and foreign copyright laws. Unless otherwise expressly stated on the NLHR Site, the texts, exams, video, images, and other instructional materials provided with the courses and programs offered on the NLHR Site are for your personal use in connection with those courses and programs only. Certain reference documents, digital textbooks, articles, and other information on the NLHR Site are used with the permission of third parties, and use of that information is subject to certain rules and conditions, which will be posted along with the information. By using the NLHR Site, you agree to abide by all such rules and conditions. You agree to retain all copyright and other notices on any content you obtain from the NLHR Site. All rights in the NLHR Site and its content, if not expressly granted, are reserved.

Use of New London HR and Other Member Names, Trademarks, and Service Marks.
The “New London HR” names, logos and seals are trademarks ("Trademarks") of the respective entities. Likewise, the names, logos, and seals of the other Members are Trademarks owned by the respective Member. You may not use any of these Trademarks, or any variations thereof, without the owner's prior written consent. You may not use any of these Trademarks, or any variations thereof, for promotional purposes, or in any way that deliberately or inadvertently claims, suggests or, in the owner’s sole judgment, gives the appearance or impression of a relationship with or endorsement by the owner. Nothing contained on the NLHR Site should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the NLHR Site without the written permission of the owner of the applicable Trademark.
Disclaimers of Warranty / Limitations of Liabilities
THE NLHR SITE AND ANY INFORMATION, CONTENT OR SERVICES MADE AVAILABLE ON OR THROUGH THE NLHR SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND (EXPRESS, IMPLIED OR OTHERWISE), INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT INSOFAR AS ANY SUCH IMPLIED WARRANTIES MAY NOT BE DISCLAIMED UNDER APPLICABLE LAW.
User’s Posting Disclaimer.
You understand that when using the NLHR Site you will be exposed to User Postings from a variety of sources and that neither NLHR nor the NLHR Participants are responsible for the accuracy, usefulness, reliability or intellectual property rights of or relating to such User Postings. You further understand and acknowledge that you may be exposed to User Postings that are inaccurate, offensive, defamatory, indecent or objectionable and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against NLHR or any of the NLHR Participants with respect thereto. Neither NLHR nor any of the NLHR Participants endorse any User Postings or any opinion, recommendation or advice expressed therein. Neither NLHR nor any of the NLHR Participants have any obligation to monitor any User Postings or any other user communications through the NLHR Site.
However, NLHR reserves the right to review User Postings and to exercise its sole discretion to edit or remove, in whole or in part, any User Posting at any time and for any reason, or to allow the NLHR Participants to do so. Without limiting the foregoing, upon receiving notice from a user or a content owner that a User Posting allegedly does not conform to these TOS, NLHR may investigate the allegation and determine in its sole discretion whether to remove the User Posting, which it reserves the right to do at any time and without notice.
Third-Party Services; Links to Other Websites.
The NLHR Site and individual courses may be integrated with third-party services or include hyperlinks to websites maintained or controlled by third parties. NLHR and the NLHR Participants are not responsible for and do not routinely screen, approve, review or endorse the contents of or use of any of the products or services that may be offered by such third parties.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT NEITHER NLHR NOR ANY OF THE NLHR PARTICIPANTS WILL BE LIABLE TO YOU FOR ANY LOSS OR DAMAGES, EITHER ACTUAL OR CONSEQUENTIAL, ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE, OR YOUR (OR ANY THIRD PARTY'S) USE OF OR INABILITY TO USE THE NLHR SITE, OR YOUR PLACEMENT OF CONTENT ON THE NLHR SITE, OR YOUR RELIANCE UPON INFORMATION OBTAINED FROM OR THROUGH THE NLHR SITE, WHETHER YOUR CLAIM IS BASED IN CONTRACT, TORT, STATUTORY OR OTHER LAW.
IN PARTICULAR, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER NLHR NOR ANY OF THE NLHR PARTICIPANTS WILL HAVE ANY LIABILITY FOR ANY CONSEQUENTIAL, INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, OR INCIDENTAL DAMAGES, WHETHER FORESEEABLE OR UNFORESEEABLE AND WHETHER OR NOT NLHR OR ANY OF THE NLHR PARTICIPANTS HAS BEEN NEGLIGENT OR OTHERWISE AT FAULT (INCLUDING, BUT NOT LIMITED TO, CLAIMS FOR DEFAMATION, ERRORS, LOSS OF PROFITS, LOSS OF DATA, OR INTERRUPTION IN AVAILABILITY OF DATA).
CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.
You agree to defend, hold harmless, and indemnify NLHR and the NLHR Participants, and their respective subsidiaries, affiliates, officers, faculty, students, fellows, governing board members, agents and employees from and against any third-party claims, actions, or demands arising out of, resulting from or in any way related to your use of the NLHR Site, including any liability or expense arising from any and all claims, losses, damages (actual and consequential), suits, judgments, litigation costs, and attorneys' fees, of every kind and nature. In such a case, NLHR or the applicable NLHR Participant will provide you with written notice of such claim, suit, or action.
Termination Rights; Discontinuation of Courses and Content.
You agree that NLHR, in its sole discretion, may terminate your use of the NLHR Site or your participation in it, for any reason or no reason, upon notice to you. It is NLHR's policy to terminate in appropriate circumstances the accounts of users of the NLHR Site who are repeat copyright infringers. NLHR and the NLHR Participants reserve the right at any time in their sole discretion to cancel, delay, reschedule or alter the format of any course offered through NLHR, or to cease providing any part or all of the NLHR Site content or related services, and you agree that neither NLHR nor any of the NLHR Participants will have any liability to you for such an action. If you no longer desire to participate in the NLHR Site, you may terminate your participation at any time. The rights granted to you hereunder will terminate upon any termination of your right to use the NLHR Site, but the other provisions of the Agreements will survive any such termination.
The Agreements constitute the entire agreement between you and NLHR with respect to your use of the NLHR Site, superseding any prior agreements between you and NLHR regarding your use of the NLHR Site.
If you are a consumer, please note that these terms of service, its subject matter and its formation, are governed by English law. You and we both agree to that the courts of England and Wales will have exclusive jurisdiction. If you are a business, these terms of service, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
Any dispute arising out of or relating to this Agreement or the Site will be finally settled by arbitration, except that NLHR may bring an action in a court of competent jurisdiction with respect to any dispute affecting NLHR's intellectual property rights whether statutory or contractual. The arbitration will be conducted in accordance with the commercial arbitration rules (the "Rules") of the United Kingdom Arbitration Association. Any such controversy or claim will be arbitrated on an individual basis and will not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration will be conducted in a location of NLHR’s choosing and judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator selected under the Rules must be a lawyer. The arbitrator has no authority to award damages in excess of those permitted in this Agreement for any reason. Any award in excess of such limitation will be deemed void as between the parties. Either Licensee or Licensor may seek any interim or preliminary equitable relief from a court of competent jurisdiction necessary to protect the rights or the property of NLHR (or its affiliates, agents, suppliers, and subcontractors), pending the completion of arbitration.
